TRADELINK TERMS & CONDITIONS

1. Introduction

1.1 These terms and conditions explain the Tradelink Rewards Program.
1.2 Please read these terms and conditions carefully. By using this website you are deemed to have accepted these terms and conditions.
1.3 Tradelink may vary these terms and conditions from time to time without prior notification. Tradelink will publish the amended terms and conditions on this website. Tradelink will also provide Members with 30 days notification of material changes to these terms and conditions on this website.
1.4 Please check these terms and conditions regularly as continuing to use the services offered under the Tradelink Rewards Program after changes have been published will mean that you agree to these terms and conditions as amended.

2. Tradelink Rewards Membership

2.1 Customers, other than Commercial Customers, with a Tradelink Trading Account may apply to participate in the Tradelink Rewards program.
2.2 Tradelink may in its sole discretion invite other customer’s to participate in the Tradelink Rewards Program.
2.3 There is no annual membership fee for participation in the Tradelink Rewards Program.
2.4 Members are not entitled to transfer their Membership to any person, entity or account.
2.5 Tradelink has the right to accept or reject any application for Membership, exclude any customer from inclusion in the Tradelink Rewards Program or to cancel the registration of any Member in its sole discretion.
2.7 Each Member must advise Tradelink of any change of name, address or other details as soon as practicable after the change. Changes to mailing address, password or other details can be made directly on this website. Tradelink is not responsible for any failure by a Member to notify Tradelink of any changes in accordance with this clause, or for any incorrect changes notified to Tradelink.

3. Earning Tradelink Rewards Points

3.1 Tradelink Rewards Points may only be earned and redeemed in accordance with these terms and conditions.
3.2 Members will only earn Tradelink Rewards Points by purchasing Products directly from Tradelink and paying for these Products through their Tradelink Trade Account after they have registered and become a Member of the Tradelink Rewards Program.
3.3 Tradelink Rewards Points will be earned based on the value of Products purchased and paid for using the Tradelink Trade Account. Points will accrue as follows:
   a. One (1) Tradelink Rewards Point per $1 spent; and
   b. One (1) extra Tradelink Rewards Point will be accrued for each dollar spent over and above the Member’s monthly        target, as set by Tradelink and notified to the Customer from time to time.
3.4 Tradelink may offer bonus Tradelink Rewards Points to Members from time to time at Tradelink’s absolute discretion.
3.5 Tradelink Rewards Points will not be earned on bank fees, government fees and charges, taxes or interest charges incurred on the Tradelink Trade Account or purchases for which a refund is subsequently obtained.
3.6 Tradelink will issue a monthly trading Account Statement to customers. In order to earn Tradelink Rewards Points, Members must pay, and Tradelink must receive, all amounts due under the Account Statement by no later than the due date on the Account Statement. For the avoidance of doubt, payment in full of the Account Statement balance is required.
3.7 Tradelink reserves the right to adjust a Member’s total Tradelink Rewards Points in relation to cancelled, refunded or returned Products or if Tradelink Rewards Points have been incorrectly credited or debited for any reason.
3.8 Tradelink may, in its absolute discretion, withhold Tradelink Rewards Points at any time.
3.9 If a Member is in breach of its trading terms with Tradelink, Tradelink may withdraw or cancel the value of any Rewards from the Member’s balance.
3.9 Tradelink shall not be liable for any loss or damage suffered resulting from withholding, cancellation or withdrawals made by Tradelink in accordance with these terms and conditions.

4. Allocation of Tradelink Rewards Points

4.1 Tradelink will make available to each Member, through this website, a Rewards Statement identifying the number of Tradelink Rewards Points accumulated by the Member.
4.2 A Rewards Statement will also be emailed to each Member at least once per year. Additional mailings of the Rewards Statement may be made at Tradelink's discretion.
4.4 Any disputes regarding the allocation or balance of Tradelink Rewards Points or the redemption of Tradelink Rewards Points must be submitted in writing to Tradelink within 30 days from the Rewards Statement date via email at info@tradelinkrewards.com.au. After the expiry of the 30 day period, the Rewards Statement will be deemed correct.
4.5 Tradelink will investigate all disputes within ten (10) business days of receiving the dispute. Tradelink's decision in respect of such dispute is final.

5. Redemption of Tradelink Rewards Points

5.1 Members may redeem Tradelink Rewards Points in order to acquire Rewards.
5.2 The value of each Reward will be stated in Tradelink Rewards Points. The number of Tradelink Reward Points that must be redeemed in relation to a particular Reward is determined by Tradelink in its sole discretion from time to time and include where applicable any freight costs incurred to deliver the Reward to the Member’s nominated destination during normal business hours.
5.3 Tradelink does not give any warranty or make any representation in relation to the underlying value of any Rewards.
5.4 Members wishing to redeem Tradelink Rewards Points may do so by:
    a. accessing this website; or
    b. contacting Tradelink Rewards Customer Service on 1300 785 811.
All requests for redemptions must comply with security and identification procedures notified to Members by Tradelink from time to time.
5.5 Tradelink has the right, in its absolute discretion, to make any changes to the types of Rewards offered or to the number of Tradelink Rewards Points required to redeem Rewards. Any such changes will be set out on this website.
5.6 Tradelink will not be responsible for any loss caused as the result of any Rewards having been exhausted or being no longer available to Members.
5.7 Tradelink will not be responsible for any loss caused to a Member as the result of the fraudulent redemption of Tradelink Rewards Points by an unauthorised person(s) where such redemption has been accepted on the basis of the security and identification procedures applicable from time to time.
5.8 Tradelink Rewards Points are not redeemable for cash and have no cash or monetary value.
5.9 Redeemed Rewards may not be exchanged for other Rewards and are not refundable, replaceable or transferable for cash or credit.
5.10 If a Member has insufficient Tradelink Rewards Points to redeem a particular Reward, the Member may purchase the remaining Tradelink Rewards Points required. Tradelink reserves the right to determine the cost of the remaining Tradelink Rewards Points required to redeem the Rewards at its absolute discretion.
5.11 A Member may only purchase the remaining Tradelink Rewards Points via the Points Plus Pay functionality on this website. Payment must be made with a credit card. The redemption and payment process must comply with security and identification procedures applicable from time to time.
5.12 Tradelink Rewards Points cannot be transferred, sold, given or otherwise exchanged to another person or any other Members (including for the avoidance of doubt, another customer of Tradelink).
5.13 Tradelink Rewards Points remain valid for a period of two (2) years from the date they are first credited on a Member’s Rewards Account, after which time they will expire and be forfeited.
5.14 If a Member has failed to accrue Tradelink Rewards Points during a consecutive three (3) month period, Tradelink has the right to forfeit all points accrued by that Member.
5.15 It may take up to two (2) months after the date of purchase for Tradelink Rewards Points to appear in a Member’s Tradelink Rewards Account.
5.16 Members must pay all overdue amounts owing to Tradelink before they can redeem Tradelink Reward Points for a Reward. A Member will not, in any circumstance, be able to redeem Tradelink Rewards Points while they have an overdue amount owing to Tradelink.
5.17 Members can setup auto-redemption for selected Rewards (as specified on this website), such as vouchers. For periodic and set value auto-redemption, at the time of the auto-redemption members will receive as many of the selected Reward that they are eligible for from the Tradelink Rewards Points balance at that time.
5.18 For annual auto-redemption, the Reward will be sent to Members up to 28 days after the date nominated, provided Members have sufficient Tradelink Rewards Points to qualify for the redemption.
5.19 Members can change or cancel future auto-redemption options at any time. If an Auto-redemption had been processed, any changes made to auto-redemption preferences will only be applicable for future redemptions.

6. Termination or suspension

6.1 If a Member has failed to make the minimum payment specified on any Account Statement by the due date Tradelink may, in its absolute discretion, suspend or cancel a Tradelink Trade Account and Membership to the Tradelink Rewards Program.
6.2 A Member will not be able to redeem Tradelink Rewards Points whilst their Tradelink Trade Account is suspended.
6.3 If a Member’s Tradelink Trade Account is cancelled for any reason, that Member's Membership of the Tradelink Rewards Program will automatically be cancelled.
6.4 If a Member’s Tradelink Trade Account and Membership of the Tradelink Rewards Program is cancelled by Tradelink, all monies owing to Tradelink shall immediately become due and payable, and any unredeemed Tradelink Rewards Points are immediately forfeited.
6.5 A Member may cancel their Tradelink Trade Account and Membership of Tradelink Rewards Program by giving not less than 30 days’ notice in writing to Tradelink at www.tradelinkrewards.com.au.
6.6 If a Member elects to cancel their Tradelink Trade Account and Membership of the Tradelink Rewards Program, the Member shall have 90 days from the date of cancellation to redeem their Tradelink Rewards Points. After 90 days, all Tradelink Rewards Points shall be forfeited.
6.7 Tradelink reserves the right to suspend, withdraw or terminate the Tradelink Rewards Program at any time in its absolute discretion, and may, where practicable give reasonable notice to the Member. If the Tradelink Reward Program is terminated, Members must redeem any unredeemed Tradelink Rewards Points within three (3) months of the termination of the Tradelink Rewards Program.

7. Tax

It is the responsibility of the Member to seek independent professional taxation advice in relation to the taxation effects arising from Membership of and participation in the Tradelink Rewards Program. In addition, the Member is responsible for any taxation liability (including but not limited to GST) or any applicable fringe benefits tax or other government fees, taxes, impositions and charges relating to its Membership or the redemption of any Rewards.

8. Indemnification

Each Member agrees to indemnify and hold Tradelink harmless from and against any and all loss, liability, claims, damages, costs and expenses, arising from or related to the use of this website by the Member and the Membership.

9. Representations and Warranties

9.1 This website and the services provided under this website are provided by Tradelink on an "as is" and an "as available" basis. Tradelink makes no representations or warranties of any kind express or implied, as to the operation of this website or the information, content, materials, or products included on this website.
9.2 To the maximum extent permitted by law, Tradelink disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.
9.3 Each Member acknowledges, by its use of this website, that its use of the website is at the Member's sole risk. This disclaimer does not apply to any product warranty offered by the manufacturer of an item. This disclaimer constitutes an essential part of these terms and conditions.

10. Limitation of Liability

10.1 To the maximum extent permitted by law, Tradelink, its related bodies corporate, and all of their officers, employees or agents are not liable for any loss or claim of any kind (including, without limitation, indirect, consequential or economic loss or loss of profits), arising under or in connection with these terms and conditions and the Tradelink Rewards Program, including, without limitation, any changes to these terms and conditions or the Tradelink Rewards Program. 10.2 Tradelink does not exclude, restrict or modify any liability that cannot be excluded, restricted or modified, or which cannot be excluded, restricted or modified except to a limited extent, as between the Company and the Buyer by law including liability under the Competition and Consumer Act 2010 (Cth). However, where such statutory provisions apply, to the extent to which the Company is entitled to do so, the Company’s liability will be limited at its option to: is limited to any one of the following as determined by Tradelink:
   a. the replacement of Rewards or Products or the supply of equivalent Rewards or Products; or
   b. the repair of the Rewards or Products or the payment of the cost of having the Products or Rewards repaired.
10.3 To the maximum extent permitted by law and notwithstanding any other clause of these terms and conditions, Tradelink and the Tradelink Rewards Program Manager exclude all liability whatsoever to the Member arising out of or in any way connected with the Tradelink Rewards Program and the Rewards for any loss of profit, loss of revenue, loss of use, loss of business, loss of opportunity, loss of goodwill, loss of production, business interruption or any kind of indirect, special or consequential losses or damage howsoever arising and whether caused by a breach of statute, breach of contract, negligence or other tort.
10.4 To the extent permitted by law, Tradelink is not responsible for any Rewards received under the Tradelink Rewards Program, any death or injury arising from, in connection with or caused by a Reward, or the loss, theft or destruction of a Reward or a Reward voucher.

11. Collection of personal information

11.1 Tradelink collects information about each Member, including but not limited to the Products purchased by a Member and the Rewards a Member selects, and any personal information that a Member submits for the purpose of applying for Membership or redeeming Reward Points.
11.2 The information collected by Tradelink may be used by Tradelink or its agents to:
   a. contact a Member with information regarding the Tradelink Rewards Program, the Rewards or products or services of        Tradelink;
   b. monitor a Member’s use of Reward Points and Rewards Account; and
   c. customise any marketing messages sent to the Member by Tradelink.
11.3 Tradelink may also use the information in accordance with the Privacy Policy. Each Member consents to receiving messages about the Tradelink Rewards Program, electronic or otherwise, about (among other things) our rewards, special offers, competitions and information about a Member’s account activity (for example the number of Reward Points a Member has accumulated). A Member may unsubscribe from receiving the Tradelink Rewards Program promotions by clicking the unsubscribe link in the electronic messages, or by unsubscribing in the Member’s user profile on this website. As detailed in the Privacy Policy, each Member agrees that Tradelink and its agents may send you marketing messages, electronic or otherwise, about (among other things) Tradelink rewards, special offers, competitions and other promotions, and those of Tradelink’s agents or third parties which Tradelink consider may be of interest to a Member. A Member may unsubscribe from receiving marketing messages from Tradelink and its agents at any time by sending an email to Tradelink in accordance with the Privacy Policy.
11.4 A Member may seek access to and the correction of its information at any time in accordance with the Privacy Policy.

12. Intellectual Property

12.1 Nothing in these terms and conditions shall be deemed to confer on a Member or any other party any right to use any of the trademarks of Tradelink or of any other person who has granted to Tradelink the right to use any trade marks. Each Member agrees at all times to respect the validity and ownership of such trademarks and the goodwill attached to those trademarks and not to do or omit to do any act or thing or allow any act or thing to occur or omit to occur which may put in issue the validity or ownership of those trademarks.

13. General Provisions

13.1 Any dispute concerning goods or services received as a Reward must be settled between the Member and Rewards Provider who supplied the goods or services.
13.2 Failure to enforce a particular term or condition of these terms and conditions does not constitute a waiver of that term or condition by Tradelink.
13.3 Tradelink may exercise any right, power or remedy in this document at its discretion and separately or concurrently with any other right, power or remedy.
13.4 These terms and conditions contain the entire agreement between Tradelink and each Member about the Tradelink Rewards Program. Any previous understanding, agreement, representation or warranty relating to the Tradelink Rewards Program matter is replaced by these terms and conditions and have no further effect.
13.5 Any provision of these terms and conditions which is unenforceable or partly unenforceable is, where possible, to be severed to the extent necessary to make this document enforceable, unless this would materially change the intended effect of these terms and conditions.
13.6 These terms and conditions are governed in accordance with the laws of New South Wales, Australia and each Member irrevocably and unconditionally submits to the non-exclusive jurisdiction of New South Wales.

14. Definitions

In these terms and conditions, unless the context requires otherwise:
Account Statement means the summary of the previous month’s purchases from Tradelink using your Tradelink Trade Account.
Commercial Customer means a large customer classified by Tradelink as a commercial customer.
Tradelink we or us, means Tradelink Pty Ltd (ABN 11 093 539 452) whose registered office is located at 1051 Nudgee Road, Banyo QLD 4014, Australia.
Tradelink Support Centre means the call centre operated by Tradelink. The call centre can be contacted by telephone on 07 3260 9777.
Tradelink Rewards Customer Service means the call centre operated by MasterCard Loyalty Solutions. The call centre can be contacted by telephone on 1300 785 811.
Tradelink Rewards Points means the points allocated to Members in accordance with these terms and conditions and which may be redeemed for Rewards.
Tradelink Rewards Program means the scheme offered by Tradelink which provides Tradelink Rewards Points to Members for the purchase of Products using their Tradelink Trade Account.
Tradelink Trade Account means a standard 30 day credit and a COD account issued by Tradelink.
Member means a customer accepted for membership of the Tradelink Rewards Program and who holds a Tradelink Trade Account.
Points Plus Pay means a method by which Members can use a valid credit card to pay for the remainder of a Reward where they have insufficient points or where they do not wish to spend all their Tradelink Rewards Points to redeem a reward.
Product(s) means all goods available for purchase from Tradelink.
Rewards means goods and services listed from time to time in the Tradelink Rewards Program catalogue.
Rewards Account means a Member's user account under the Tradelink Rewards Program.
Rewards Statement means a statement setting out Tradelink Rewards Points information.
